X10 Archery Academy is a Texas incorporated 501(c)3, effective August 25th 2023.
Bylaws Summary of X10 Archery Academy
Our Name and Mission
Name: We are proudly known as X10 Archery Academy, or simply "the Academy."
Purpose: Our core mission is to offer "Archery for all. No exceptions." Alongside archery training, we are committed to personal development that encompasses mindset growth, health, happiness, critical thinking, and overall individual betterment.
Governance
Board Composition: Our current Board of Directors consists of three key roles: President, Marketing Committee Chair, and Program Committee Chair.
Term: Board members are elected for a three-year term and may be re-elected based on the organization's needs and board approval.
Responsibilities
President: Presides over board meetings, provides organizational leadership, and ensures alignment with our mission and vision.
Marketing Chair: Focuses on implementing effective marketing and communication strategies to support our mission.
Program Chair: Collaborates with the President and Head Coach to develop and implement programs consistent with the Academy's objectives.
Meetings and Decision-Making
Board Meetings: Held quarterly with at least one month's notice.
Special Meetings: Can be called by the President or any two board members with at least two weeks' notice.
Quorum and Voting: Decisions are made by a majority vote in meetings where at least two board members are present.
Committees and Finances
Committees: Created as needed and members are appointed by the President with board approval.
Fiscal Year: Runs from January 1st to December 31st.
Financial Oversight: Managed by the President, with an annual review by an external accountant.
Amendments and Dissolution
Amendment Procedure: Bylaws can be amended by a two-thirds majority vote from the board.
Dissolution: In the unlikely event of dissolution, all assets will be directed to a similar non-profit organization as determined by the board.
Legal Protections
Indemnification: Board members are indemnified to the fullest extent permitted by law against liabilities related to their board service.
